Private Driver — Terms of Service

These Terms of Service ("Terms") govern access to and use of the Private Driver software application, the provider booking pages it generates, and related services (together, the "Service") operated by Ace Limited LLC, a Florida limited liability company with its principal office at 6831 Eastview Dr, Lake Worth, FL 33462 ("Company", "we", "us").

The Service is used by two kinds of people, and these Terms address each:

  • Providers — independent transportation businesses and individuals (chauffeurs, taxi operators, limousine companies, private drivers) who subscribe to the Service to manage their own bookings, calendar, pricing and customer list. Part B applies to you.
  • Passengers — people who book transportation from a Provider through a Provider's booking page or through the application, whether or not they create an account ("Guests" are Passengers without an account). Part C applies to you.

Part A applies to everyone.

Part A — Terms for everyone

1. What the Service is — and what it is not

1.1 We are a software company. The Service is a set of software tools: a calendar, a booking form, a price calculator configured by each Provider, a customer list, and notifications. We license this software to Providers on a subscription basis.

1.2 We do not provide transportation. We do not own, operate, control, direct, manage, or dispatch any vehicle or driver. We do not employ Providers. We do not select a Provider for a Passenger, recommend or rank Providers, search for Providers on a Passenger's behalf, match riders to drivers, broadcast ride requests, or take any share of a fare. Every booking made through the Service is a direct arrangement between the Passenger and the Provider whose booking page the Passenger chose to use.

1.3 We do not handle ride payments. Fares are agreed between the Passenger and the Provider and are paid by the Passenger directly to the Provider by whatever method the Provider accepts. The Service may record that a Provider has reported a fare as paid; this is a note the Provider makes, not a transaction we process. We never hold, charge, collect, remit, or refund a fare.

1.4 We do not verify legal eligibility to operate. Whether a Provider may lawfully offer transportation for hire depends on the laws of the country, state or province, county, city, airport and port in which the Provider operates, and those laws differ from place to place. The Company does not determine, verify, certify, license, or guarantee that any Provider is legally permitted to provide transportation in any jurisdiction. That is, and remains, solely the Provider's responsibility. Passengers should satisfy themselves about a Provider before booking.

1.5 Platform document conditions are not a legal certification. As a condition of using the Service, the Company may require a Provider to upload copies of certain documents (for example a driving licence, commercial or for-hire insurance, and vehicle registration) and may review them for completeness and expiry. This review is a condition of our software subscription only. It is not a background check, not a regulatory licence, and not a representation to anyone that the Provider is fit, qualified, insured, or authorised to operate in any place. A "documents on file" or similar indicator in the Service means only that the Provider has uploaded documents that met our platform conditions on the date shown.

2. Accounts

2.1 You must be at least 18 years old to create an account. Guests booking without an account must be at least 18 or booking on behalf of an adult who has authorised it.

2.2 You are responsible for your credentials and for all activity under your account. Tell us at support@megobe.com immediately if you suspect unauthorised use.

2.3 A mobile telephone number is required for Providers and for anyone making a booking, because the Provider and Passenger must be able to reach each other. You confirm the number you give is yours and that we and the other party may use it for messages about your bookings.

3. Disclosures shown at booking

3.1 Before a Passenger confirms a booking, the Service displays the following disclosure, which forms part of these Terms:

Transportation services are provided by the independent transportation provider identified on this page, not by Ace Limited LLC. The transportation provider is responsible for the legality, licensing, permits, insurance, operation, pricing and performance of its transportation services. Ace Limited LLC provides booking, scheduling and related software services only, and does not verify that the provider is legally authorised to operate in your location.

3.2 Prices shown are calculated by the Service from the rates the Provider has configured, in the Provider's currency and distance unit. The Company does not set, approve, or guarantee any price. Where a price is estimated from a straight-line distance rather than a measured route, the Service says so.

4. Acceptable use

You may not use the Service to: break any law; provide or book transportation you are not lawfully permitted to provide or receive; impersonate any person; upload documents that are not genuine; scrape, harvest, or resell any data; interfere with the Service or its security; send unsolicited marketing to anyone through it; or attempt to use it as a dispatch, marketplace, or ride-hailing network. We may suspend or terminate any account that does.

5. Privacy

Our Privacy Policy explains what we collect and why. By using the Service you agree to it. Providers are independent controllers of the customer information they collect through their own booking pages (see B.7).

6. Intellectual property

The Service, its software, design, and content are owned by the Company or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service under these Terms. Providers own their business names, logos and business-card designs; Passengers own the content they enter. You grant us the licence needed to operate the Service (store, display, transmit) and nothing more.

7. Disclaimers

7.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

7.2 THE COMPANY MAKES NO WARRANTY ABOUT ANY PROVIDER, VEHICLE, DRIVER, OR TRANSPORTATION SERVICE, INCLUDING SAFETY, QUALITY, LEGALITY, PUNCTUALITY, INSURANCE, OR SUITABILITY. FLIGHT, ROUTE, DISTANCE, DURATION, AND AVAILABILITY INFORMATION IS PROVIDED FOR CONVENIENCE FROM THIRD-PARTY AND MODELLED SOURCES AND MAY BE INACCURATE, LATE, OR INCOMPLETE; IT ADVISES AND NEVER REPLACES THE PARTIES' OWN ARRANGEMENTS.

8. Limitation of liability

8.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR ANY TRANSPORTATION ARRANGED THROUGH IT, INCLUDING PERSONAL INJURY, DEATH, PROPERTY DAMAGE, DELAY, MISSED FLIGHTS, OR CANCELLATION, HOWEVER CAUSED.

8.2 THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE SUBSCRIPTION FEES PAID TO THE COMPANY BY THE CLAIMANT IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). PASSENGERS PAY THE COMPANY NOTHING; THEIR REMEDY FOR A TRANSPORTATION SERVICE LIES AGAINST THE PROVIDER.

8.3 Some jurisdictions do not allow certain limitations; in those places the limitation applies to the fullest extent permitted.

9. Indemnity

You will defend, indemnify, and hold harmless the Company and its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your violation of any law or third-party right, or — for Providers — any transportation service you provide or fail to provide.

10. Dispute resolution

10.1 Governing law. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.

10.2 Courts. Any dispute that is not resolved informally will be decided by the state or federal courts located in Palm Beach County, Florida, and both parties consent to their jurisdiction. Either party may instead bring an individual claim in small-claims court.

10.3 Informal resolution first. Before starting any proceeding, write to support@megobe.com describing the dispute; the parties will try in good faith to resolve it within 30 days.

11. Changes, suspension, termination

11.1 We may change these Terms. We will post the new version in the Service with its version date and, where the change is material, ask you to accept it before continuing. Continued use after acceptance is agreement to the new version.

11.2 We may modify, suspend, or discontinue the Service or any feature at any time. Providers may cancel at any time (see B.2). We may terminate an account for breach.

11.3 Sections 1, 5–10, and B.7 survive termination.

12. General

Entire agreement; severability; no waiver; no assignment by you without our consent; we may assign to a successor. Notices to us: support@megobe.com, 6831 Eastview Dr, Lake Worth, FL 33462. Notices to you: the email or in-app notification on your account. Registered agent for service of process in Florida: Gokhan Mansuroglu, 7919 Jewelwood Dr, Boynton Beach, FL.

Part B — Additional terms for Providers

B.1 Your independent business

B.1.1 You are an independent business. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and the Company. You decide whether, when, where, for whom, and at what price you work. You may use any other software, platform, or network. We do not require you to be available at any time or to accept any booking.

B.1.2 You confirm in writing, by accepting these Terms and the certifications in B.3, that you are an independent contractor and not an employee of the Company.

B.2 Subscription and fees

B.2.1 The Service is licensed on a monthly subscription. Current tiers and prices are shown in the application (for example Solo, Fleet per vehicle with a minimum, and Concierge per vehicle with a minimum). Prices are in US dollars unless stated.

B.2.2 Billing is handled outside the application by invoice or a payment link we send you; we do not sell subscriptions through the Apple App Store or Google Play. Subscriptions renew monthly until cancelled.

B.2.3 You may cancel at any time. Cancellation takes effect at the end of the paid month. No partial-month refunds. If you cancel, your booking page stops accepting new bookings at the end of the paid period; your existing data remains available for export for 90 days.

B.2.4 Vehicle capacity on Fleet and Concierge tiers is the number of vehicles you pay for, not the number listed in the app. Adding a vehicle beyond your paid capacity requires a change of plan.

B.2.5 We may change prices with 30 days' notice; the new price applies from your next renewal after the notice.

B.2.6 Taxes: prices exclude any applicable tax, which you are responsible for.

B.3 Your certifications (made separately in the application)

By using the Service you certify, and you re-certify each time the wording is updated, that:

  1. Legally authorised. You hold every licence, permit, registration, and authorisation required by every jurisdiction in which you provide transportation (including state or provincial, county, city, airport, and port requirements), and you will not use the Service to offer transportation anywhere you are not authorised.
  2. Licences maintained. You will keep every such authorisation current, and you will stop using the Service to take bookings in any place where an authorisation lapses, is suspended, or is revoked.
  3. Insurance maintained. You carry, and will keep in force, the motor-vehicle liability insurance required by law for transportation for hire in each place you operate, at no less than the statutory minimum (in Florida, at least US$1,000,000 in coverage during a prearranged ride under Fla. Stat. § 627.748, or such other amount as the law requires), and you understand that a personal auto policy generally does not cover transportation for hire.
  4. Sole responsibility. You alone are responsible for the safety, legality, quality, pricing, and performance of the transportation you provide, for your vehicle, for any driver you employ or engage, and for complying with tax, employment, accessibility, non-discrimination, and consumer-protection law.
  5. The platform grants no rights. Using the Service does not make you authorised, licensed, insured, vetted, or endorsed by the Company, and you will not say or imply to anyone that it does.
  6. You will notify us and stop. If any certification above becomes untrue, you will stop taking bookings through the Service immediately and tell us.

Each certification is recorded separately with the date and the wording you saw.

B.4 Documents you upload

B.4.1 You must upload the documents the application requests and keep them current. Automated checks may flag missing information, expiry, or coverage below the required minimum; a person may review them. Our acceptance of a document means only that it met our platform conditions; it is not a determination that the document is genuine, that you are lawfully authorised, or that your insurance is adequate for any claim.

B.4.2 When a required document expires, your booking page stops accepting new bookings until a current one is uploaded and accepted. This is a software condition, not a regulatory action.

B.4.3 You may not upload a document belonging to another person, or use one licence, policy, or registration on more than one account.

B.5 Your booking page, prices, and bookings

B.5.1 Your booking page and QR code are yours to share with your own customers. The Service does not advertise, list, rank, or recommend your page to anyone. Customers reach it only through a link or code you gave them.

B.5.2 You configure your own rates, radius surcharges, after-hours window, hourly and charter rates, cancellation policy, accepted payment methods, currency, and distance unit. The Service calculates prices from those settings. You are responsible for the prices your page shows and for honouring a quoted price.

B.5.3 A booking is a contract between you and the Passenger. You may accept or decline any request. Once accepted, you are responsible for performing it or cancelling it with proper notice; the Service will notify the Passenger of a cancellation, but the consequences of cancelling are yours.

B.5.4 You must obtain and keep whatever airport or port permits are required for pickups you accept there. The Service's terminal and flight information is advisory.

B.6 Your team (Fleet and Concierge)

If you add staff or drivers to your account, you are their employer or principal, not the Company. You are responsible for their eligibility, licensing, insurance, conduct, and pay. Assignment of a booking to a member of your team is your internal decision; the Service will never assign a booking to anyone outside your account.

B.7 Customer data and messages

B.7.1 Names, telephone numbers, addresses, and booking history of your customers are collected by you, through your booking page, for your business. For that data you are the controller (or the business, under applicable law) and we are your processor. You will use it only to provide transportation and related communications to those customers, will comply with applicable privacy law, and will not use the Service to send marketing messages without whatever consent the law requires.

B.7.2 Transactional messages about a booking (confirmation, changes, cancellation, receipt) may be sent by the Service on your behalf to the customer's number or email. Marketing messages, and any automated or artificial-voice call to a customer, are not part of the Service.

B.7.3 We keep customer data according to the retention periods in the Privacy Policy and applicable law. You may export your customer list at any time while subscribed.

B.8 Suspension

We may suspend your booking page immediately if we receive a credible report of a safety, legal, or fraud concern, if a certification in B.3 appears untrue, or if a required document has lapsed, pending review. Suspension is a software measure and does not determine any legal question.

Part C — Additional terms for Passengers and Guests

C.1 Who you are booking with

You are booking with the Provider named on the booking page — not with the Company. The Provider, not the Company, will transport you, set and collect the fare, and is responsible for the vehicle, the driver, punctuality, safety, and any loss or injury. The Company has not verified that the Provider is legally authorised to operate where you are; see A.1.4 and A.1.5.

C.2 Your booking

C.2.1 A booking request is not confirmed until the Provider accepts it. The Service tells you when that happens. Do not rely on a car arriving until you have seen the booking accepted.

C.2.2 The price shown is computed from the Provider's own rates. Waiting time, extra stops, tolls, airport fees, or changes you request may alter it as the Provider's settings describe.

C.2.3 Cancellation. The Provider's cancellation policy is shown before you book and before you cancel, together with any fee that would apply at that moment. Any fee is owed to the Provider.

C.2.4 Changes. A change request is not effective until the Provider accepts it.

C.2.5 Guests. If you book without an account, your booking reference link is the only way to see, change, or cancel your booking. Keep it. Anyone holding it can use it.

C.3 Payment

You pay the Provider directly by a method the Provider accepts. The Company does not take payment, does not issue refunds, and cannot resolve payment disputes; any receipt or invoice generated by the Service reflects what the Provider recorded.

C.4 Your conduct

You will give accurate pickup, contact, passenger-count, and luggage information, be ready at the agreed time and place, and behave lawfully and respectfully in the Provider's vehicle. Providers may decline or end a ride for unsafe or unlawful conduct.

C.5 Contact information

You agree that the Provider may call or message the number you gave about this booking, and that the Service may send you transactional messages about it (confirmation, acceptance, changes, cancellation, receipt). You can reply STOP to any SMS to stop receiving messages by SMS; you will then be reached by the other means you gave.
